This is an English translation provided for convenience. The legally binding version is the German one; in case of any discrepancy, the German version prevails.
1. Provider and Scope of Application
zeitl is a product of Develogix Agency e.U., Johannes-Filzer-Straße 46, 5020 Salzburg (hereinafter "we", "us" or "zeitl"). These Terms and Conditions (T&Cs) govern the use of the zeitl appointment booking software by entrepreneurs within the meaning of §1 of the Austrian Commercial Code (UGB) (hereinafter "you" or "business"). zeitl is exclusively aimed at entrepreneurs, not consumers.
We reject any conflicting terms and conditions of the business; they only become effective if we expressly agree to them in writing.
2. Subject Matter
zeitl provides a web-based software that enables service businesses to manage appointments, operate a public booking page, maintain a customer database, send notifications and — depending on the plan — collect online deposits and view statistics. The specific scope of functions is determined by the chosen plan (Free, Basic, Pro) and the current product description.
zeitl is a pure software tool. The business remains solely responsible for the content of its offering, the provision of its services to end customers, and compliance with the trade, tax and professional regulations applicable to it.
zeitl is exclusively the technical provider of the platform. Any contractual or other legal relationship concerning the booked treatment or service is established exclusively between the business and its end customers; zeitl is not involved and does not become a contracting party. End customers cannot derive any claims against zeitl from the use of the platform (including booking, appointment management, notifications, deposits or any disruptions); claims in connection with the booking or the provision of services are directed solely against the business. The business shall indemnify zeitl from claims of third parties (in particular its end customers) arising from the use of the platform attributable to the business or the provision of its services, unless zeitl caused these wilfully or through gross negligence.
3. Contract Formation, Account and Trial Period
The contract is concluded upon registration of an account. You warrant that your details are correct and complete and that you are authorised to represent the business. Access credentials must be kept confidential.
Upon registration you receive a 14-day free Pro trial. After that, your account automatically and without any cost switches to the permanently free Free plan, unless you have taken out a paid subscription. No data is deleted; features no longer included in the plan are simply disabled.
4. Prices and Payment
- The Free plan is free of charge. Basic and Pro are billed at the prices stated in the registration or subscription area.
- All prices are net plus statutory VAT.
- Paid plans are invoiced in advance for the chosen billing period (monthly or annually). Subscription payments are processed by our payment service provider Stripe.
- There is no setup fee and no commission on your revenue. No per-employee pricing.
5. Online Deposits and Service Fee
In the Basic and Pro plans you can optionally collect online deposits from your end customers. Payment is made via a payment service provider; the resulting payment fees are borne by you. zeitl retains a service fee of 1.9% of the respective deposit amount for the brokerage and technical processing of such deposits. This is the only revenue-based fee; it is only incurred when you actually collect payments online. zeitl itself does not receive customer funds on its own account.
6. Term and Cancellation
Paid subscriptions run for the chosen billing period and renew automatically for the same period unless cancelled by the end of the current period. Cancellation is possible at any time with effect from the end of the current billing period, conveniently via the account settings. Fees already paid are not refunded on a pro-rata basis.
Before account deletion you can export all your data. We are entitled to terminate the contract for good cause, in particular in the event of a material breach of these T&Cs or unlawful use.
Automatic deletion of inactive free/trial accounts: If a free account or an expired trial remains inactive for more than 60 days (no login, no bookings), we are entitled to deactivate the account and, after a grace period of 30 days, permanently delete it together with all associated data. We will notify you beforehand by email — 7 days and 1 day before deactivation. Simply logging in is enough to prevent deletion. Paid subscriptions are not affected.
7. Obligations of the Business
You undertake not to use zeitl abusively or unlawfully, not to post content that infringes rights, and to respect the rights of third parties. You are the data controller responsible for the lawful processing of your end customers' data under data protection law (see Section 10). Appointment confirmations and reminders constitute performance of the contract; for advertising to end customers beyond this you are yourself responsible for obtaining the necessary consents.
Message texts you write yourself: Wherever zeitl lets you write the text of a message to end customers yourself — for instance the notice about a missed appointment — you alone are responsible for that content. It must be factually correct and free of insults, undue pressure or unjustified demands. zeitl appends a non-removable note about possible consequences (such as exclusion from online booking) to such messages and is entitled to block unlawful texts.
8. Availability and Support
We strive for high availability of zeitl but do not guarantee any specific round-the-clock availability; maintenance windows and outages are possible. We provide support in German by e-mail within a reasonable time.
9. Warranty and Liability
zeitl is provided with care but without any guarantee that the software will be free of errors or operate without interruption at all times. We are liable without limitation for wilful misconduct and gross negligence, as well as for damages arising from injury to life, body or health. In the case of slight negligence we are only liable for breach of a material contractual obligation and then only up to the amount of the typically foreseeable damage. Liability for lost profits and consequential damages is excluded to the extent permitted by law. We accept no liability for the provision of your own services or for payment transactions of your end customers via third-party service providers.
10. Data Protection and Data Processing
To the extent that zeitl processes personal data of your end customers on your behalf, zeitl is the data processor (Art. 28 GDPR) and you are the controller within the meaning of the GDPR. The Data Processing Agreement (DPA) concluded by you in the app applies. How we handle personal data is set out in the Privacy Policy.
11. Referral programme (“Refer a friend”)
zeitl may offer a voluntary referral programme. If, through your personal referral link, you refer another business that takes out a paid subscription, you receive for each successful referral a credit worth one month of “Pro” — as a credit on your next invoice or, if you are not yet a paying customer yourself, as a free Pro period. The referred business receives its first paid month for free.
The credit only arises once the referred business has actually paid its first regular invoice (not upon sign-up) and is capped at twelve free months per calendar year. Self-referrals, repeat referrals of the same business, and abusive or automated sign-ups are excluded; in these cases there is no entitlement to a credit. Cash payout is excluded. zeitl may change, suspend or discontinue the programme at any time; credits already earned remain unaffected.
12. Changes to these T&Cs
We may amend these T&Cs with reasonable notice, for example upon further development of the product or changes in the legal situation. We will notify you of changes in good time by e-mail. If you do not object within the announced period or continue to use zeitl, the amended T&Cs shall be deemed accepted. In the event of material changes to your detriment, you have a special right of termination.
13. Final Provisions
Austrian law applies, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for disputes with entrepreneurs is the court having subject-matter jurisdiction for 5020 Salzburg. Should any provision of these T&Cs be invalid, the validity of the remaining provisions shall not be affected.
